Terms & Conditions

Chloe Lloyd, sole trader.

1. About these Terms

1.1 These Terms and Conditions ("Terms") apply to this website and to all photography, videography and related creative services ("Services") supplied by Chloe Lloyd, a sole trader based in the UK, trading as Chloe Lloyd Photography ("the Creator"). Contact details: chloelloydphotos@outlook.com and Pitville Avenue L18 7JH.

1.2 In these Terms: "Client" means the person or business that engages the Creator; "Agreement" means the signed written agreement, proposal or booking confirmation for the Services; "Work" means all photographs, video, footage, edits, raw or unedited files, concepts, proposals and other material created by the Creator; "Fee" means the total price for the Services; and "Deposit" means the part of the Fee payable to secure a booking.

1.3 These Terms apply to Clients acting for business purposes. If the Client is an individual acting outside their trade or profession, the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 may give additional rights, and nothing in these Terms limits those rights.

1.4 If there is a conflict between these Terms and the Agreement, the Agreement prevails.

2. Use of the website

2.1 All content on this website, including text, images and other media, is provided for general information only. Reasonable efforts are made to ensure accuracy, but content may be updated or changed at any time without notice.

2.2 All content on this website is protected by copyright and other intellectual property rights belonging to the Creator or used with permission. Unauthorised use, reproduction or distribution of website content is not permitted without the Creator's prior written consent.

2.3 The Creator reserves all rights in respect of text and data mining of the content of this website, and its use to train, fine tune or test any artificial intelligence or machine learning system is prohibited.

3. Enquiries and bookings

3.1 Submitting an enquiry through this website does not constitute a confirmed booking.

3.2 A booking is confirmed only once both of the following have happened: (a) the Agreement has been signed by the Client; and (b) the required Deposit has been received in cleared funds. Dates are not secured until both steps are completed.

3.3 A proposal or quotation is valid for 30 days from the date it is sent, unless it states otherwise, and may be withdrawn at any time before the Client accepts it. Prices are based on the brief supplied, and a change to the brief may change the price.

4. Scope of work and variation

4.1 All Services are governed by the Agreement, which sets out the scope of work, deliverables, usage and licensing, payment terms and timelines.

4.2 Deliverables, intended usage and licensing are agreed in advance of the shoot. Any change requested after confirmation may be treated as additional work and charged accordingly.

4.3 No change to the Agreement or these Terms is effective unless agreed in writing by both parties.

4.4 The Creator may use second shooters, assistants, editors and other subcontractors to deliver the Services. The Creator remains responsible for their work, and will ensure that all copyright in work they create is owned by or licensed to the Creator, so that the Client’s licence under clause 12 is not affected.

4A. Strategy

4A.1 Strategy documents, proposals, pitch concepts, treatments and other creative ideas supplied by the Creator remain the Creator’s property. Once the relevant Fee has been paid in full, the Client is licensed to use them for its own business as set out in the Agreement.

4A.2 Ideas and concepts presented by the Creator in a pitch or proposal are confidential. The Client must not pass them to any other provider or use them without engaging the Creator, unless the Client has paid for them under the Agreement.

4A.3 Where the Services are provided on a retained or ongoing basis, the Agreement will state the monthly fee, the minimum term and the notice period. Unless it says otherwise, the minimum term is 3 months, either party may end the retainer on 3] days’ written notice after that, and fees are payable during the notice period. Hours or deliverables that are not used in a month do not carry over.

4A.4 For social media management and similar services, the Client must provide timely access to its accounts and approve content promptly. The Client remains responsible for its accounts. The Creator does not guarantee any particular level of reach, engagement, followers or sales, and is not liable for a platform changing its rules or suspending an account.

5. Client responsibilities

5.1 The Client must: (a) provide accurate information and a clear brief; (b) provide access to the venue or location at the agreed times; (c) obtain all permissions, consents and releases needed for the Creator to photograph or film at the location or event, including from venue owners; and (d) tell attendees, performers and participants at the Client's event that photography and filming will take place and that images may be used as set out in the Agreement.

5.2 The Client confirms that the person signing the Agreement has authority to bind the Client.

5.3 The Client confirms that it owns, or holds the necessary licences to use, all material it supplies to the Creator, including music, logos, footage, text, artwork and fonts (“Client Materials”), and that the Creator’s use of Client Materials as instructed will not infringe any third party’s rights.

5.4 The Client will indemnify the Creator against all losses, damages, costs and reasonable legal fees arising from any third party claim connected with Client Materials, any use of the Work outside the licence granted, or any breach by the Client of clause 12 or 13. This does not apply to the extent that the claim arises from the Creator’s own breach or negligence.

5.5 The Client must tell the Creator before the shoot about any safeguarding requirements, including the presence of children or vulnerable people and any venue policy or background check requirement. The Creator will comply with reasonable policies provided in advance, but is not obliged to hold a particular check unless agreed in writing.

5.6 The Client is responsible for obtaining any parental or guardian consent needed for children and young people attending its event. The Creator will not use identifiable images of children or vulnerable people for self promotion under clause 15 unless consent has been confirmed by the Client or the parent or guardian.

6. Amendments and revisions

6.1 One round of amendments is included in the agreed Fee, unless otherwise stated in the proposal. All requested amendments must be submitted in one consolidated email, clearly listing every change required. That email constitutes one revision round.

6.2 Any further requests, changes or amendments submitted after that email constitute a further revision round and will be charged at £50 per round, unless the work amounts to substantial additional editing or a change to the original brief, in which case a separate fee will be quoted.

6.3 The Client is responsible for ensuring that all relevant stakeholders have reviewed the work and contributed feedback before amendments are submitted. The Creator recommends that the Client nominates one person to consolidate feedback and give final instructions.

6.4 Included amendments are limited to reasonable adjustments to the delivered work in line with the original agreed brief. The Creator may determine, acting reasonably, whether a requested amendment falls within the included revision round, taking into account the original brief, the nature of the changes and the extent of additional work required.

6.5 Requests that change the original brief, introduce new content, require a new creative direction or involve substantial re-editing will be treated as additional work and quoted separately before work begins. For video, substantial changes may include replacing music, restructuring the edit, changing the narrative, replacing footage or significantly altering pacing or duration.

6.6 Amendments arising from a change in the Client's creative preferences, including changes to previously approved decisions or instructions, are treated as revisions and may incur additional charges.

6.7 Corrections required because the delivered work does not meet the agreed brief due to an error or omission by the Creator will be made free of charge and do not count towards the included revision round.

6.8 A minimum of three working days must be allowed for standard amendments, unless agreed otherwise in writing. More substantial amendments may require additional time, which will be agreed before work begins. Urgent or expedited turnaround must be agreed in writing in advance and may incur an additional charge. No expedited turnaround is guaranteed unless expressly agreed. Delays in receiving feedback, consolidated instructions or approval may affect the agreed delivery schedule.

7. Approval and final delivery

7.1 Once the Client has approved the work, any subsequent changes are treated as additional work and charged accordingly.

7.2 Additional work will not begin until applicable fees and timescales have been agreed in writing.

7.3 If the Client does not respond with feedback or approval within 14 days of the Creator submitting work for review, the work is treated as approved.

8. Fees and payment

8.1 Invoices are payable in pounds sterling. Unless the Agreement says otherwise.

8.2 Payment is due within 21 days of the date the invoice is sent to the Client. Time for payment is of the essence.

8.3 If any sum is not paid by the due date, the Client must pay interest on the overdue amount at 8% per annum above the Bank of England base rate, accruing daily from the due date until payment in full, together with the fixed compensation payable under the Late Payment of Commercial Debts (Interest) Act 1998.

8.4 The Client must also pay the Creator's reasonable costs of recovering overdue sums, including debt recovery agency fees and reasonable legal fees, whether or not court proceedings are issued.

8.5 While any invoice is overdue, the Creator may suspend work and withhold delivery of files on written notice to the Client. No licence to use any Work takes effect until the relevant invoice has been paid in full.

8.6 The Creator will issue one written reminder when an invoice becomes overdue and may issue a statement of interest and compensation due at any time. Amounts stated in that statement are payable within 7 days of it being sent.

8.7 Unless the Agreement says otherwise, the Client will pay the Creator’s reasonable expenses at cost, including travel beyond Merseyside, parking, accommodation, equipment or location hire and third party licences. Where an expense is likely to be significant, the Creator will tell the Client in advance.

8.8 Coverage is for the time stated in the Agreement. If an event starts late or runs over, or the Client is not ready at the agreed time, the Creator may charge additional time at £200 per hour, subject to availability, and may finish at the end of the booked time.

8.9 The Client’s obligation to pay is not conditional on the Client receiving any grant, funding, sponsorship or payment from any third party.

9. Deposits, cancellation and rescheduling

9.1 A Deposit is required to secure all bookings. The Deposit is paid for the Creator reserving the date and declining other work, and is non-refundable except where the Creator cancels under clause 10.4. Where the booking proceeds, the Deposit counts towards the Fee.

9.2 Brand storytelling sessions. A session may be rescheduled once without penalty on at least 72 hours' notice. The original Deposit may be transferred to the new date. If notice is less than 72 hours, the Deposit is forfeited and any new booking requires a new Deposit.

9.3 Events and live coverage. An event booking is secured for a specific date and event. If the event is officially rescheduled, the booking may be transferred once to the new date, subject to the Creator's availability. If the original event goes ahead and the booking is cancelled or moved for any other reason, the Deposit is forfeited and the booking is treated as cancelled. Deposits cannot be transferred to different events or dates.

9.4 All cancellations must be made in writing. For single session or single event bookings, the forfeited Deposit is the only cancellation charge. For projects delivered in stages, or a retained engagement over a period, clause 14 applies instead.

10. Weather and unforeseen circumstances

10.1 For outdoor shoots or events, poor weather alone does not entitle the Client to reschedule. Where weather or unforeseen circumstances make the Services genuinely unsafe or unworkable, this will be discussed and assessed case by case.

10.2 Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including severe weather, travel disruption, venue closure, illness, public health restrictions or the cancellation of an event. The affected party must notify the other promptly and the parties will agree a revised date where possible.

10.3 If the Creator is prevented by illness, accident or similar from attending a booking, the Creator may offer a suitably qualified replacement, with the Client's agreement.

10.4 If the Creator cancels a booking and no rescheduled date or replacement is agreed, the Creator will refund all sums paid for Services not delivered. This is the Client's sole remedy for cancellation by the Creator.

10.5 Where the Services include drone filming, the Creator will operate in line with the rules of the UK Civil Aviation Authority and will hold the registrations and qualifications required. The Client is responsible for obtaining the landowner’s or venue’s consent to drone use. The Creator may decline or abort any flight that is unsafe, unlawful or unauthorised, and in that case the parties will agree an adjustment to the Fee for any element not delivered.

11. Delivery of work

11.1 Final images and video files are delivered digitally by secure download link, typically using WeTransfer or an equivalent service.

11.2 Download links are active for 30 days from the date of delivery. The Client is responsible for downloading and safely storing files within that period. The Creator is under no obligation to retain copies of the Work after delivery.Requests to resend files after the period may incur an additional fee.

12. Copyright, licensing and raw files

12.1 Unless agreed otherwise in a signed written agreement, copyright in all Work, including photographs, video, footage, edits, and raw or unedited files, remains the property of the Creator at all times. Delivery of any file, whether raw or edited, does not transfer ownership or grant a licence.

12.2 Subject to clause 12.4, the Client is granted a non-exclusive, non-transferable licence to use the Work for the purposes, platforms, territory and period set out in the Agreement. If the Agreement does not state a territory or period, the licence is worldwide and for 12 months from delivery, and for the Client's own business purposes only. Usage is defined before the shoot, based on how the Work will be used across digital, social, print or other platforms. Any additional or extended use not agreed in advance may be subject to additional licensing fees.

12.3 Raw files, proofs, previews, contact sheets, watermarked images and selection galleries are supplied only so the Client can review and select. They must not be used in any form, including on websites, social media, print, advertising, press or presentations.

12.4 A licence to use any Work takes effect only when the Creator has confirmed it in writing and the relevant Fee has been paid in full. Any use before that point is unlicensed. For unlicensed use, the Client must pay a fee of 150% of the Creator's standard licence fee for that use, which the parties agree is a reasonable estimate of the licence fee together with the Creator's administration costs and the commercial risk of unauthorised use. This does not limit the Creator's right to seek an injunction or other remedies, but any damages awarded for the same use will be reduced by fees paid under this clause.

12.5 If the Client has not made its selection and paid within 30 days of delivery, the Creator may withdraw access to the files, and the Client must delete any copies on request.

12.6 The Creator asserts the right to be identified as author of the Work under section 77 of the Copyright, Designs and Patents Act 1988. The Client must credit the Creator where the Agreement requires, and must not remove or alter any credit or metadata identifying the Creator.

12.7 The Work may include music, sound effects, stock footage, fonts, templates or other material owned by third parties (“Third Party Material”). Unless the Agreement says otherwise, the Creator will select and licence Third Party Material under the licence terms of the relevant provider, and those licences are held by the Creator, not the Client.

12.8 The Client may use Third Party Material only as part of the Work in the form delivered, for the uses permitted by the Agreement and the provider’s licence, and must not extract, re-edit or reuse it in any other project. The Client must comply with any conditions the Creator notifies, including crediting the artist or provider where required.

12.9 Third party licences may be narrower than the licence the Creator grants for the Work. If the Client wants to use the Work in a way that may go beyond them, such as paid advertising on additional channels, broadcast, cinema or a different edit, the Client must tell the Creator beforehand so that the position can be checked, and any extra licence cost will be payable by the Client. Where a platform requires the Client’s channels to be cleared for the music, the Client must give the Creator the details needed. The Creator may decline to re-edit or re-export the Work if a third party licence no longer allows it.

12.10 If the Client asks for particular music or other Third Party Material, the Client is responsible for the cost and for ensuring the licence covers the intended use, and the Creator may charge for obtaining it.

12.11 The licence granted under clause 12.2 does not include the right to sublicense, but the Client may allow its agencies, funders, press and partners to use the Work on the Client’s behalf for the permitted purposes, provided they are told of these Terms. The Client remains responsible for their compliance, as clause 13.3 provides.

13. Artificial intelligence

13.1 The Client must not, and must not permit any third party to, use any Work, in whole or in part, to train, fine tune, test or improve any artificial intelligence or machine learning system, or to include it in any dataset for those purposes. The Creator expressly reserves all rights in respect of text and data mining of the Work for any commercial purpose.

13.2 The Client must not use artificial intelligence or any similar tool to reproduce, extend, adapt or imitate the Work, or to generate material derived from it, including material that replicates the creative treatment, concepts, compositions or distinctive visual approach developed by the Creator for the Client's project. This clause does not prevent the Client using ordinary editing tools for cropping, resizing, colour correction or similar technical adjustments that do not generate new content, unless the Agreement says otherwise.

13.3 The Client must ensure that its agencies, contractors and platforms handle the Work in line with clauses 12 and 13, and is responsible for any breach by them.

13.4 On any breach of clause 12 or 13, any licence granted ends automatically, the Client must remove the Work from all use, and the Client must pay the Creator's fees and reasonable legal costs arising from the breach.

14. Early termination and replacement of the Creator

14.1 This clause applies to projects delivered in stages and to retained engagements. The Creator's engagement covers the full scope of the agreed brief, and the Creator will have reserved time and declined other work to deliver it.

14.2 If the Client ends the engagement early, or uses artificial intelligence or another provider to produce any part of the agreed scope in place of the Creator, the Client must pay: (a) the Fee for all work delivered or in progress at the date of termination; and (b) as agreed compensation for the Creator's reserved time and lost opportunity, 100% of the Fee for work not yet delivered, or 50% where written notice is given more than 30 days before that work was due to begin.

14.3 The parties agree that the compensation in 14.2(b) protects the Creator's legitimate interest in the engagement continuing and is not a penalty.

15. Self-promotion and portfolio use

15.1 The Creator retains the right to use any images or video created for self-promotional purposes, including on the Creator's website, social media, portfolio, exhibitions, competitions, talks and related promotional or editorial contexts, unless otherwise agreed in writing before the shoot. The Creator will not publish confidential or unreleased material that the Client has identified in writing before the shoot.

16. Liability

16.1 The Creator will provide the Services with reasonable skill and care.

16.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

16.3 Subject to clause 16.2, the Creator is not liable for any indirect or consequential loss, or for loss of profit, revenue, goodwill or opportunity, arising from the Services or this website.

16.4 Subject to clause 16.2, the Creator's total liability arising from any Agreement, whether in contract, tort (including negligence) or otherwise, is limited to the Fees paid by the Client for the Services in question.

16.5 The Creator does not guarantee that any particular shot, person or moment will be captured at an event or live coverage, and is not liable for loss or damage to files caused by equipment failure, theft or other causes outside the Creator's reasonable control, provided the Creator has taken reasonable precautions such as dual card recording where practicable.

16.6 The Creator holds public liability and professional indemnity insurance and will provide evidence of cover on request. The Client is responsible for insuring its own event, premises and equipment.

17. Privacy and data protection

17.1 Personal information submitted through this website is handled in accordance with UK data protection law. For full details, see the Privacy Policy. Where the Creator processes personal data contained in the Work on the Client's behalf, the parties will comply with the UK GDPR and the Data Protection Act 2018.

18. General

18.1 Entire agreement. These Terms and the Agreement are the whole agreement between the parties and replace any earlier discussions, proposals or understandings about the Services.

18.2 Severance. If any provision of these Terms is found to be invalid or unenforceable, the rest remains in force, and the provision will apply to the greatest extent permitted by law.

18.3 No waiver. A delay or failure by the Creator in enforcing any right is not a waiver of it.

18.4 Assignment. The Client may not transfer its rights or obligations under the Agreement without the Creator's written consent.

18.5 Third party rights. No person other than the Client and the Creator has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

18.6 Notices. Notices must be given in writing, including by email, to the contact details in the Agreement.

19. Governing law

19.1 These Terms, and any dispute or claim arising from them or the Services, including non-contractual disputes, are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.

19.2 Before starting court proceedings, the party raising a dispute must give written notice describing it, and the parties will try in good faith to resolve it within 14 days. This does not prevent either party from seeking urgent court relief, or from recovering an unpaid invoice.
